Terms of Use

Motiv is provided by Northern Software Limited, a company registered in England and Wales under company number 17361376, whose registered office is at 66 Paul Street, London, England, EC2A 4NA (“we”, “us”, or “our”). We trade as Motiv. You can contact us at hello@motiv.help.

Apple provides the App Store and payment platform and may act as merchant of record for an App Store transaction. We remain the provider and licensor of Motiv and are responsible for the app’s content, maintenance, support, and legal compliance to the extent allocated to us by law and Apple’s terms.

By downloading, installing, or using Motiv, you agree to these Terms. If you do not agree, do not use the app. A paid subscription contract is also formed when Apple confirms your purchase.

Your licence to use Motiv is governed by Apple’s Standard Licensed Application End User License Agreement (“Standard EULA”). We do not use a custom end-user licence agreement. These Terms supplement the Standard EULA. If there is a conflict, mandatory law applies first, followed by the Standard EULA for the app licence and these Terms for the additional service terms, to the extent they can operate together.

Apple’s Media Services Terms and any App Store usage rules also apply to your Apple Account, purchases, and use of the App Store.

Motiv is designed for adults and is not directed at children. You must be able to enter a binding contract under the law that applies to you. If you are under 18, use Motiv only with the involvement of a parent or guardian who reviews and agrees to these Terms and approves any purchase on your behalf.

Optional data sharing — usage analytics and crash reports — is offered only to users who declare they are 18 or over, and the app will not enable either without that declaration. Do not make it if it is not true. Everything else in Motiv works the same either way.

The App Store age rating describes the app’s content and is not a statement that a young child has legal capacity to agree to these Terms or buy a subscription.

Motiv is a focus and planning tool. It can help you configure app and website blocks, routines, reminders, tasks, saved places, and progress information. Some features depend on compatible Apple devices, current versions of iOS or iPadOS, Apple frameworks, permissions, background execution, an internet connection, or an active Apple Account.

Motiv is a productivity tool, and it is not a safety system. Do not rely on a block, reminder, location rule, notification, or Screen Time restriction where failure could cause injury, loss, or a safety risk. Motiv is also not medical, therapeutic, emergency, safeguarding, or professional advice.

This matters because Motiv does not control the parts of iOS it depends on. Operating-system restrictions, permissions, power settings, Low Power Mode, network conditions, and Apple service availability can each delay or prevent a feature from working, and none of them is something we can override.

We may provide updates that correct faults, maintain compatibility, improve security, or change features. You are responsible for installing updates made available through the App Store and using a supported device and operating-system version.

Subject to these Terms and the applicable Apple EULA, we grant you a personal, limited, non-exclusive, non-transferable, and revocable licence to use Motiv on Apple-branded devices that you own or control, as permitted by Apple’s usage rules.

Motiv is licensed, not sold. We and our licensors retain all rights in the app, its software, design, branding, and content that are not expressly granted to you.

You must not copy, distribute, sublicense, sell, rent, modify, decompile, reverse engineer, attempt to derive source code from, or create derivative works from Motiv, except to the extent a restriction is prohibited by law or an open-source licence expressly allows it.

Motiv includes free features. Motiv Plus is an optional auto-renewing subscription that unlocks the features described in the app at the time of purchase.

Before you confirm a purchase, the Apple purchase sheet shows the subscription name, billing period, full price including applicable taxes, any introductory offer, and the price that will apply after an offer. That displayed information forms part of your purchase terms and takes priority over an out-of-date price shown elsewhere.

In the UK, Motiv Plus costs £4.99 a month or £49.99 a year, in pounds sterling, including VAT. The annual plan includes a 7-day free trial for customers who have not had one before; the monthly plan has no trial. Plans and prices vary by country, currency, eligibility, tax, and App Store pricing changes, and an offer applies only if Apple shows it to you before purchase.

• Trial: if Apple confirms a free trial, your subscription starts immediately and you will not be charged until the stated trial ends. It then renews at the displayed standard price unless you cancel at least 24 hours before the trial ends.
• Payment: Apple charges your selected payment method through your Apple Account when you confirm a paid purchase or when a trial converts.
• Auto-renewal: each subscription renews for the same billing period until cancelled. Apple may charge a renewal within 24 hours before the current period ends.
• Price changes: Apple provides any notice or request for agreement required for a subscription price increase. A price change does not remove any rights you have under applicable law.
• Access: if a subscription expires or payment cannot be collected, Plus features stop working. We keep everything you created — blocks, routines and other items that need Plus are paused, not deleted. They stay in the app, stop working, and start working again as soon as you resubscribe. Motiv shows you which items are paused.

You can manage or cancel Motiv Plus through your Apple Account subscription settings. Apple explains the current process in its subscription support guidance. Cancellation normally stops the next renewal and Plus remains available until the end of the paid period, unless Apple or applicable law provides otherwise.

Deleting Motiv does not cancel a subscription. Cancelling a subscription does not delete app data.

We will not make cancellation materially more difficult than subscription, subject to the App Store controls available to us. Where future UK subscription rules apply to Motiv, we will provide any additional reminders, cooling-off rights, and straightforward exit process required by those rules.

You can request an App Store refund through Apple’s refund service. Apple administers App Store billing and its refund process and may be the merchant of record for the transaction. This does not remove any responsibility or remedy that applicable consumer law places on us.

Motiv Plus is bought from Apple, and Apple’s own terms give you a 14-day right to withdraw from a purchase. Because digital content is delivered immediately, that right ends once delivery has started with your agreement, and Apple asks for that agreement as part of the purchase. You can withdraw a purchase in Apple Account → Purchase History → Withdraw Purchase.

Nothing in these Terms asks you to give up a statutory right, and nothing here is intended to remove a cancellation right that applicable law gives you.

If Motiv is faulty, not as described, or does not meet another legal guarantee, you may have rights to repair, replacement, a price reduction, repeat performance, or a refund. Contact us if Apple’s process does not resolve a statutory claim.

You must not:

• use Motiv unlawfully or to violate another person’s rights;
• attempt to defeat, probe, overload, or interfere with the app’s security or operation;
• introduce malicious code or use automated means to extract the app or its content;
• use the app in a way that damages our systems, Apple’s systems, or another user; or
• misrepresent your authority to make a purchase or privacy choice for a child.

Nothing in this section prevents lawful security research, interoperability, reverse engineering, or other activity that cannot lawfully be restricted.

You keep ownership of the routines, reminders, tasks, notes, saved places, and other content you create. Motiv processes that content only as needed to provide the features you choose, as explained in our Privacy Policy.

Motiv relies on Apple frameworks and services, including the App Store, StoreKit, Screen Time, Maps, location services, and notifications. Optional product analytics use PostHog and optional crash reporting uses Sentry, as described in the Privacy Policy.

Agreeing to these Terms does not enable PostHog or Sentry. Each is off by default and requires a separate affirmative choice in the app. You can change either choice under Settings → Privacy and review the locally stored history through Your consent record in Settings.

Third-party services may change, become unavailable, or have separate terms and privacy policies. We are responsible for choosing and integrating our service providers with reasonable care, but we do not control Apple’s or another provider’s independent service. This does not limit rights you have against us under mandatory law.

We, rather than Apple, are responsible for support and maintenance for Motiv to the extent required by these Terms or applicable law. Contact support@motiv.help. Apple has no obligation to provide maintenance or support for the app.

We do not promise that Motiv will always be available, uninterrupted, compatible with every future operating-system version, or free from every defect. We will provide the app with the level of skill, care, quality, fitness, and conformity required by applicable consumer law.

You may stop using Motiv at any time. Reset Motiv removes local user content, settings, consent history, and the other local information listed in the Privacy Policy, while preserving the limited technical installation record described there. Resetting or uninstalling the app does not automatically delete information already received by a service provider. You must separately cancel any subscription.

We may suspend or terminate access where reasonably necessary because you materially or repeatedly breach these Terms, create a security or legal risk, misuse the service, or where we must discontinue the app. Where practical and lawful, we will give reasonable notice and an opportunity to correct a breach.

If we suspend or end your access for a reason that is not your fault, including if we discontinue Motiv, we will refund the unused part of any Plus period you have already paid for. Because Apple collects the payment, we will either ask Apple to refund you or pay you directly, whichever is faster, and we will tell you which. If we end your access because you seriously or repeatedly breached these Terms, we do not have to refund the remaining period.

Termination does not affect rights or liabilities that arose beforehand. Provisions that by their nature should continue, including ownership, liability, disputes, and accrued payment obligations, will survive.

Nothing in these Terms excludes or restricts a right or remedy that cannot lawfully be excluded. In particular, UK consumer law may require digital content and services to be of satisfactory quality, fit for purpose, as described, and supplied with reasonable care and skill.

Where we say Motiv may be unavailable or imperfect, that describes the practical limits of software and third-party services; it is not a waiver of your statutory guarantees. If Motiv does not meet a warranty, you can tell Apple, and Apple will refund what you paid for the app itself — Apple’s Standard EULA explains that limited role. Anything beyond that is our responsibility.

We do not exclude or limit liability for:

• death or personal injury caused by negligence;
• fraud or fraudulent misrepresentation;
• breach of a statutory right or guarantee that cannot be excluded;
• deliberate misconduct;
• damage to your device caused by Motiv, which the Consumer Rights Act does not allow us to exclude; or
• any other liability that the law does not allow us to exclude or limit.

If we fail to comply with these Terms, we are responsible for loss or damage that was a foreseeable result of that failure or our failure to use reasonable care and skill. Loss is foreseeable if it was obvious that it would happen or both you and we knew it might happen when the contract was made.

Motiv is supplied for personal and domestic use. If you are acting wholly or mainly for the purposes of a business, we are not responsible for business losses such as lost profit, revenue, opportunity, goodwill, or business interruption, except where the law does not permit that exclusion.

We are not responsible for loss caused solely by your failure to follow clear instructions, maintain a supported device, grant a permission needed for a feature, or install an available security or compatibility update. This does not reduce our responsibility where our own breach also caused the loss.

For everything we are permitted to limit, our total responsibility to you is capped at £100, or the total amount charged to you for Motiv Plus in the twelve months before the claim — whether paid to us or to Apple as merchant of record — whichever is higher. This cap does not apply to anything in the list above, which we never limit.

We may change Motiv or these Terms for a valid reason, including to comply with law or App Store requirements, improve security, reflect changes to Apple or another dependency, add or retire features, or make wording clearer.

Changes apply prospectively. We will give reasonable advance notice in the app or on the website where a change is material. If a material change disadvantages you, it will not alter a period you have already paid for unless the change is required urgently by law or security, and you may cancel before the next renewal. We will obtain affirmative agreement where the law requires it rather than treating silence as acceptance.

You and we acknowledge that:

• these Terms are between you and us, not Apple;
• we are responsible for Motiv and for addressing product, consumer-protection, privacy, and intellectual-property claims relating to it;
• Apple is not responsible for support or maintenance;
• your licence is limited to use permitted by Apple’s usage rules;
• you must comply with applicable third-party terms when using the app;
• you represent that you are not in a country subject to a United States Government embargo and are not on a United States Government prohibited or restricted-party list; and
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the provisions that benefit them.

These Terms are governed by the law of England and Wales, except that you retain the benefit of any mandatory consumer protection provided by the law of the country or UK nation where you live.

If you live in England or Wales, the courts of England and Wales have non-exclusive jurisdiction. If you live in Scotland or Northern Ireland, you may bring proceedings in your local courts. Consumers elsewhere may bring proceedings in any court available under mandatory local law. We will only bring proceedings against you in the courts of the UK nation where you live.

If a court finds part of these Terms unlawful or unenforceable, the remaining parts continue to apply. A delay in enforcing a right is not a waiver of it. You may not transfer your rights or obligations under these Terms without our consent, but we may transfer ours as part of a genuine sale or reorganisation of Motiv if your rights are not reduced and we notify you where required.

These Terms, the applicable Apple EULA, the information shown in the Apple purchase flow, and documents expressly incorporated by reference form the agreement concerning your use of Motiv. They do not exclude statements or rights that consumer law makes binding.

We are not a member of an alternative dispute resolution scheme and are not required to be. If we cannot resolve your complaint, we will tell you so in writing. You can bring a claim in the small claims court, and you can get free independent advice from Citizens Advice. Data-protection complaints follow the separate route in our Privacy Policy.
